Name Approval

One has to submit two proposed names in order of preference alongwith proposed business activity to be carried out. Suffixing words Limited Liability Partnership is mandatory.

Acquiring Digital Signatures Certificates (DSC)

DSC is generally required for proposed first shareholders and directors. The same can be obtained by making application with the authorities having the prescribed licence.

Obtaining Director Identification Number (DIN)

Every person intending to be appointed as designated partner in the proposed LLP need to have a DIN. DIN can be obtained by filing DIN application Form.

Preparing and Filing Documents and Obtaining Certificate of Incorporation(COI)

Various documents like declarations, consents, of the proposed designated partners are prepared.

Once all the above mentioned documents are ready, the same are filed with id and address proofs the proposed designated partners with Registrar of Companies(ROC).

ROC scrutinises all the documents and on being satisfied that everything is in order issued the Certificate of Incorporation(COI).

Filing LLP Agreement

Within 30 days of obtaining COI, LLP has to prepare and file LLP agreement with ROC.

ROC reviews the LLP agreement filed. ROC’s approval of the LLP agreement completes the LLP registration process.
